These terms govern a school, coaching institute, or other organisation ("School") that purchases NeetFlash Premium seats for its students. They are in addition to the consumer Terms of Service and Privacy Policy, which continue to apply to every individual student account. Where a separate signed agreement (purchase order, master services agreement, or invoice terms) exists between the School and NeetFlash, that signed agreement governs and prevails over these terms to the extent of any conflict.
1. Licence
NeetFlash grants the School a non-exclusive, non-transferable licence to provide NeetFlash Premium to its enrolled students, up to the number of seats purchased and for the duration of the licence term, both as recorded on the School's account and communicated by NeetFlash. The licence is for the School's own students only; it may not be resold, sublicensed, or made available to anyone outside the School.
2. Seats and enrolment
- A "seat" entitles one student to NeetFlash Premium for the licence term.
- The number of active students may not exceed the seats purchased. Joining is controlled by single-use join codes or by accounts provisioned by your NeetFlash contact; the seat cap is enforced automatically.
- Each single-use join code must be redeemed within a redemption window (currently 90 days from the date the codes are issued to the School). A code not redeemed within that window expires and can no longer be used; expiry of an unredeemed code does not extend the licence term or create additional value.
- Depending on the agreed deal, a seat may grant each student a fixed per-student Premium duration that runs from the date that student redeems their code, rather than ending on the School's overall contract date. Where this applies, redemption timing — not the contract end date — determines how long that student keeps Premium.
- Freeing a seat (e.g. removing a student) does not extend the licence term or create additional seats.
- Seats and the licence expiry date are set and adjusted by NeetFlash based on the agreed deal. Payment does not itself change seats or the expiry date.
3. Fees and payment
- The fee for the deal is the amount communicated to the School (shown as "Amount due" in the School admin's app and in the invoice email, or invoiced separately).
- Payment is made through a single secure payment link for the deal. The School admin can pay it from within the app or forward the same link — it also appears in the invoice email — to whoever actually pays on the School's behalf (for example, the School's accounts team). Whoever pays via that link does so for and on behalf of the School, and these terms apply to that payment.
- Fees are payable in advance of, or as agreed for, the licence term.
- All fees are final and non-refundable, including where a student leaves, a seat goes unused, or the School stops using the service before the licence term ends. This mirrors NeetFlash's consumer no-refund policy.
- Payments are processed by Razorpay; NeetFlash does not store card or bank details. Applicable taxes are the School's responsibility unless stated otherwise.
4. Term, renewal, and expiry
- The licence runs until the expiry date set on the School's account.
- The licence does not auto-renew. Continued access after expiry requires a new deal and a new payment.
- On expiry, students provisioned under the School licence revert to the free tier unless they hold their own paid plan.
5. Student data and consent
- Student accounts and their data are handled under the Privacy Policy.
- The School is responsible for obtaining any consents required to enrol its students — including verifiable parental consent for students who are minors under applicable law — before sharing their details with NeetFlash or provisioning accounts on their behalf.
- To reserve seats for named students, a School admin may provide NeetFlash with each student's mobile number and email address; the seat is claimed automatically when the student first signs in with that number. The School confirms it has a lawful basis to share those details for this purpose.
- A School admin can see roster and study-activity information for the School's own active students only, for the purpose of administering the licence. This includes per-student study analytics — streak and activity, subject coverage and readiness, retention forecast, weak spots, and mock-test and chapter-test history — on a read-only basis. A School admin cannot see or change a student's account credentials or modify their study data.
6. Acceptable use
- Students remain bound by the consumer Terms of Service, including the rules on academic integrity, account sharing, and content use.
- The School must not use NeetFlash to build a competing product, scrape or redistribute content, or circumvent the seat cap or access controls.
7. Suspension and termination
NeetFlash may suspend or terminate a School licence for non-payment, breach of these terms, or misuse of the service. Where reasonable, NeetFlash will give notice and an opportunity to cure. Termination for cause does not entitle the School to a refund of fees already paid (see Section 3).
8. Service, warranties, and liability
- NeetFlash is provided "as is". NeetFlash works to keep the service available and accurate but does not warrant uninterrupted or error-free operation, or any particular exam outcome.
- To the maximum extent permitted by law, NeetFlash's total liability to the School arising out of or relating to the licence is limited to the fees paid by the School for the then-current licence term.
9. Governing law
These terms are governed by the laws of India, and the courts at NeetFlash's registered place of business have exclusive jurisdiction, unless a signed agreement between the parties states otherwise.
